End User License Agreement

Important — read carefully

This End User License Agreement (“Agreement”) is a legal agreement between you (either an individual or a single entity) and QWF Group LLC (“Company”, “we”, “us” or “our”) for the DeskPulse software product, which includes computer software and may include associated media and electronic documentation (“Software”).

By installing, copying or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

DeskPulse is distributed under the MIT License. You are free to use, copy, modify, merge, publish, distribute, sublicense and/or sell copies of the Software, subject to the following conditions:

3.1 Maintenance of copyright notices

You must not remove or alter any copyright notices on any copies of the Software.

3.2 Third-party services

Services the Software connects to (CoinGecko, alternative.me, GitHub) are governed by their own terms and may not be abused through the Software.

3.3 Rental

You may not rent, lease or lend the Software for commercial purposes.

3.4 Compliance with applicable laws

You must comply with all applicable laws regarding use of the Software.

4. Termination

Without prejudice to any other rights, we may terminate this Agreement if you fail to comply with its terms. In such event, you must destroy all copies of the Software.

5. Disclaimer of warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

The entire risk arising out of use or performance of the Software remains with you. We do not warrant that the Software will meet your requirements, operate without interruption or be error-free.

6. Limitation of liability

IN NO EVENT SHALL QWF GROUP LLC OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Indemnification

You agree to indemnify, defend and hold harmless QWF Group LLC, its officers, directors, employees, agents and suppliers from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of this Agreement or any activity related to your use of the Software.

8. No warranties for cryptocurrency data

The Software displays cryptocurrency price data for informational purposes only. We make no representations or warranties about the accuracy, reliability, completeness or timeliness of any data displayed. Do not make investment decisions based solely on information displayed by the Software.

9. Privacy and data collection

The Software does not collect, transmit or store personal information. All processing occurs locally on your device. See our Privacy Policy.

10. Updates and modifications

We may update or modify the Software at any time. Updates are provided through GitHub Releases and may be downloaded automatically by the Software. Continued use after modifications constitutes acceptance of them.

11. Export restrictions

You acknowledge that the Software may be subject to export controls and agree to comply with all applicable international and national laws, including the U.S. Export Administration Regulations.

12. Governing law

This Agreement is governed by the laws of the State of Texas, United States of America, without regard to conflict-of-law provisions. Any legal action relating to this Agreement shall be brought exclusively in the courts of Texas.

13. Entire agreement

This Agreement constitutes the entire agreement between you and QWF Group LLC regarding the Software and supersedes all prior or contemporaneous understandings regarding its subject matter.

14. Severability

If any provision of this Agreement is held unenforceable or invalid, it will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Acceptance of terms

BY DOWNLOADING, INSTALLING OR USING DESKPULSE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
