End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and QWF GROUP LLC ("Company", "we", "us", or "our") for the DeskPulse software product, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

1. Grant of License

The Software is licensed, not sold. This Agreement grants you the following rights:

• Installation and Use: You may install and use an unlimited number of copies of the Software on your devices.
• Reproduction: You may make copies of the Software for backup and archival purposes.
• Distribution: You may distribute copies of the Software provided that you include this license agreement and do not charge for the Software itself.

2. Open Source License

DeskPulse is distributed under the MIT License. You are free to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Software, subject to the following conditions:

• The above copyright notice and this permission notice shall be included in all copies or substantial portions of the Software.
• THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

3. Description of Other Rights and Limitations

3.1 Maintenance of Copyright Notices

You must not remove or alter any copyright notices on any copies of the Software.

3.2 Prohibition on Reverse Engineering

While the Software is open source, any proprietary components or services connected to the Software may not be reverse engineered, decompiled, or disassembled, except to the extent that such activity is expressly permitted by applicable law.

3.3 Rental

You may not rent, lease, or lend the Software for commercial purposes.

3.4 Compliance with Applicable Laws

You must comply with all applicable laws regarding use of the Software.

4. Termination

Without prejudice to any other rights, we may terminate this Agreement if you fail to comply with the terms and conditions. In such event, you must destroy all copies of the Software and all of its component parts.

5. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

The entire risk arising out of use or performance of the Software remains with you. We do not warrant that the Software will meet your requirements, operate without interruption, or be error-free.

6. Limitation of Liability

IN NO EVENT SHALL QWF GROUP LLC OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Indemnification

You agree to indemnify, defend, and hold harmless QWF GROUP LLC, its officers, directors, employees, agents, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement or any activity related to your use of the Software.

8. No Warranties for Cryptocurrency Data

The Software displays cryptocurrency price data for informational purposes only. We make no representations or warranties about the accuracy, reliability, completeness, or timeliness of any cryptocurrency data displayed by the Software. You should not make any investment decisions based solely on information displayed by the Software.

9. Privacy and Data Collection

The Software does not collect, transmit, or store any personal information. All data processing occurs locally on your device. For more information, please refer to our Privacy Policy.

10. Updates and Modifications

We reserve the right to update or modify the Software at any time. Updates may be provided through our website or GitHub repository. Your continued use of the Software after any modifications constitutes acceptance of such modifications.

11. Export Restrictions

You acknowledge that the Software may be subject to export controls and regulations. You agree to comply with all applicable international and national laws that apply to the Software, including the U.S. Export Administration Regulations.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding relating to this Agreement shall be brought exclusively in the courts of Texas.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and QWF GROUP LLC regarding the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.

14. Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
